Terms of Use

Last updated: August 25, 2026

These Terms of Use (the “Terms”) govern access to the Tail Sourcing procurement platform, websites and related services (the “Services”). By creating an account, purchasing a subscription or using the Services, you agree to these Terms. If you accept on behalf of a company, you represent that you have authority to bind that company.

1. Definitions

“Customer” means the entity that subscribed. “Authorised Users” are individuals the Customer allows to use the Services. “Customer Data” is data submitted by the Customer or its users. “Subscription Term” is the paid (or trial) period selected at checkout or on an order form.

2. Accounts and eligibility

Provide accurate registration information and keep it current. You are responsible for credentials and for activity under your account. The Services are for business use by individuals over 18. Tenant administrators control seats and roles inside their organisation.

3. Subscriptions, billing and renewals

Subscriptions are billed in advance on a monthly or annual basis through Stripe at the fees on the pricing page or your order form, unless a founding-cohort or trial offer applies. Unless cancelled before renewal, subscriptions auto-renew for the same length at the then-current price. Taxes are extra where applicable. Details, refunds and how to cancel are in Cancellations & payments.

4. Acceptable use

You agree not to:

  • Use the Services in violation of law, including export, sanctions or anti-bribery rules.
  • Upload malware or attempt to compromise the security or integrity of the platform.
  • Probe, scan or reverse engineer the Services except as allowed by mandatory law.
  • Resell or make the Services available to third parties outside your organisation, except suppliers you invite into their own portal access.
  • Use the Services to spam, harass suppliers or run fraudulent procurement.
  • Exceed documented rate limits, or attempt to access another tenant’s workspace.

5. Intellectual property

Tail Sourcing and its licensors retain all right, title and interest in the Services, including software, models, prompts, UX, documentation, trademarks and the Tail Sourcing name. We grant Customer a limited, non-exclusive, non-transferable, revocable right to access the Services during the Subscription Term for internal business purposes.

All product screenshots, interface designs, workspace names, feature descriptions and marketing materials are Tail Sourcing property. Public screenshots use sample data. You may not copy them to build, market or benchmark a competing product, or imply endorsement, without written consent.

As between the parties, Customer retains all rights in Customer Data (including catalogs, RFx, suppliers and documents you upload). Customer grants Tail Sourcing a limited licence to host, process and transmit Customer Data solely to provide, secure and improve the Services.

AI-generated drafts, shortlists and scores are assistive outputs. They do not transfer ownership of Customer Data to Tail Sourcing, and they are not legal, tax or award advice. Certain features may be the subject of pending patent applications; nothing on our sites grants a patent licence.

6. Customer data and confidentiality

Each party will protect the other’s confidential information with at least reasonable care. We will not use Customer Data to market to your suppliers for our own unrelated products. Supplier portal users see only the opportunities and orders they are authorised to see.

7. Third-party services

The Services may connect to Stripe, ERPs (QuickBooks, NetSuite), email, identity verification and AI providers. Your use of those services is governed by their terms. Tail Sourcing is not responsible for their acts or outages beyond our duty to use reputable processors.

8. AI assistance and human decisions

AI features draft RFQs, normalise quotes, suggest suppliers and flag anomalies. Every commercially binding decision — awarding a bid, sending a purchase order, paying an invoice — remains the Customer’s. You must review outputs before acting. We do not warrant that AI output is complete, unbiased or free of error.

9. Warranties and disclaimers

Tail Sourcing warrants that the Services will materially conform to applicable documentation during the Subscription Term. Except as stated, the Services are provided “AS IS” and “AS AVAILABLE”. To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and any warranty of uninterrupted or error-free operation.

10. Limitation of liability — how far our responsibility goes

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, arising from these Terms or the Services.

Each party’s aggregate liability arising out of these Terms will not exceed the fees paid or payable by Customer to Tail Sourcing for the Services in the twelve (12) months before the event giving rise to the claim.

These caps do not exclude liability that cannot be limited by law (for example fraud, or death/personal injury caused by negligence, where such rules apply). They also do not reduce your obligation to pay undisputed fees.

Tail Sourcing is not the buyer or seller of the goods and services you procure through the platform. Contracts between Customer and its suppliers are between those parties. We are not responsible for supplier performance, product quality, delivery, or payment disputes on those commercial contracts, except for the correct operation of the software features we provide.

11. Indemnification

Customer will defend and indemnify Tail Sourcing from third-party claims arising out of Customer Data or misuse of the Services. Tail Sourcing will defend Customer against third-party claims alleging that the unmodified Services, used as documented, infringe that third party’s IP, and will pay damages finally awarded, subject to standard SaaS carve-outs (combinations, modifications, use after we offer a non-infringing alternative).

12. Term and termination

These Terms last for the Subscription Term. Either party may terminate for material breach not cured within thirty (30) days of written notice. We may suspend access for non-payment, security risk or acceptable-use violations. Upon termination, access ends; Customer may export Customer Data for a limited period using in-app export or by emailing support. Survival: IP, confidentiality, liability, indemnity and unpaid fees.

13. Changes

We may update the Services and these Terms. Material changes will be announced through the Services or by email at least thirty (30) days before they take effect, except changes required by law or to address a security issue. Continued use after the effective date is acceptance.

14. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules, unless mandatory local law of the Customer’s jurisdiction provides otherwise. The parties will try to resolve disputes in good faith. Unresolved disputes are submitted to the state or federal courts located in Miami-Dade County, Florida.
